Sales Terms and Conditions

Preamble

These Terms and Conditions of Sale (TCS) govern the relationship between:

Vanessa Ruffra AniMotion Gameplay, sole proprietor, with a capital of €0, registered with the Paris Trade and Companies Register under number 988 785 267 00010, whose registered office is located at 60 rue François 1er, 75008 Paris, represented by Vanessa Ruffra, acting as a 3D animation consultant/trainer, hereinafter referred to as “the Service Provider”

And

Any individual or legal entity wishing to benefit from the services offered by the Service Provider, hereinafter referred to as “the Client.”

 

Article 1 – Purpose and Scope

These TCS define the rights and obligations of the parties in the context of the sale of the following services:

  • 3D animation consulting services

  • Personalized 3D animation coaching sessions

  • 3D animation training (online or in-person)

These TCS form the sole basis of the commercial relationship between the parties and take precedence over any other document, including the Client’s general purchasing terms, unless expressly agreed otherwise by the Service Provider.

The Service Provider reserves the right to modify these TCS at any time. The applicable TCS are those in effect on the date the Client confirms the order.

Article 2 – Services Offered

2.1 3D Animation Consulting

The Service Provider offers consulting and support services for 3D animation projects, which may include:

  • Analysis and audit of existing projects

  • Technical and artistic advice

  • Optimization of workflows and production pipelines

  • Artistic and technical direction

2.2 Coaching Sessions

Personalized 3D animation coaching involves individual or small group support tailored to the Client’s specific needs. These sessions may cover:

  • Improvement of specific techniques

  • Development of targeted skills

  • Portfolio or showreel preparation

  • Support for personal projects

2.3 3D Animation Training

Training sessions offered by the Service Provider may be delivered:

  • Online, via a dedicated platform

  • In-person, at the Service Provider’s or Client’s premises

  • In hybrid format

Details regarding content, duration, and terms of each training session are provided in the training descriptions available on the Service Provider’s website or upon request.

 

Article 3 – Pricing and Payment Terms

3.1 Pricing

Service prices are listed in euros, inclusive of all taxes. They are specified in quotes, order forms, or during online registration.

For training sessions, the price includes participation and educational materials. It does not include any travel, accommodation, or meal expenses incurred by the Client.

3.2 Payment Methods

Payment for services may be made via:

  • Credit card through our secure platform

  • Bank transfer

  • Check payable to AniMotion

For consulting and coaching services, a deposit of 30% of the total amount is required upon ordering, with the balance payable according to the terms specified in the quote.

For training sessions, full payment is required before the start of the training, unless otherwise agreed in the quote.

3.3 Late Payment

In case of late payment, late fees will apply, along with a fixed recovery fee of €40, in accordance with Articles L441-6 and D441-5 of the French Commercial Code.

Article 4 – Service Execution Terms

4.1 Consulting and Coaching

Consulting and coaching services are subject to a quote detailing objectives, content, duration, and conditions. Acceptance of the quote by the Client constitutes a firm order.

The intervention schedule is agreed upon by both parties.

4.2 Online Training

For online training, once payment is confirmed, the Client receives login credentials for the training platform. Access is granted for 1 year from the registration date.

4.3 In-Person Training

For in-person training, a notice specifying the dates, times, and location is sent to the Client at least 10 days before the training begins.

Article 5 – Cancellation and Postponement

5.1 By the Client

Consulting and Coaching Services:

  • Cancellation must be notified in writing

  • If cancelled less than 2 days before the scheduled date, the deposit is retained by the Service Provider

  • If cancelled less than 1 day before, the full amount is due

Training Sessions:

  • Cancellation must be notified in writing

  • If cancelled more than 5 days before the start, a full refund will be issued

  • If cancelled 2 to 4 days before, 10% of the total amount remains due

  • If cancelled less than 1 day before, the full amount remains due

5.2 By the Service Provider

The Service Provider reserves the right to cancel or postpone a service due to force majeure or if the minimum number of participants is not met.

In such cases, the Client will be informed promptly and may choose between rescheduling or receiving a full refund.

 

Article 6 – Right of Withdrawal

6.1 For Consumer Clients

In accordance with Articles L121-21 et seq. of the French Consumer Code, consumer Clients have 14 days from contract conclusion to exercise their right of withdrawal without providing justification.

To exercise this right, the Client must notify the Service Provider in writing at vanessa.ruffra@animotionx.com.

6.2 Exceptions

As per Article L121-21-8 of the French Consumer Code, the right of withdrawal does not apply to:

  • Online training that begins with the Client’s consent before the withdrawal period ends

  • Services fully performed before the end of the withdrawal period

6.3 For Professional Clients

Clients acting in a professional capacity are not entitled to the withdrawal rights provided by the Consumer Code.

Article 7 – Intellectual Property

7.1 Training Materials and Content

All materials, content, methodologies, and tools used or provided during services remain the exclusive property of the Service Provider or their authors.

The Client agrees not to reproduce, distribute, or use these materials for any purpose other than personal use within the scope of the service.

7.2 Work Produced During Services

Unless otherwise stated in the quote, intellectual property rights for creations made during consulting or coaching services belong to the Client after full payment.

 

Article 8 – Confidentiality

Both parties agree to maintain confidentiality regarding any economic, technical, or commercial information obtained during the execution of services.

This obligation remains in effect throughout the contract and for [X years] after its expiration.

 

Article 9 – Personal Data Protection

Personal data collected during services are processed for client relationship management and service delivery.

The Service Provider commits to handling this data confidentially and in accordance with the General Data Protection Regulation (GDPR). For more details, please refer to our Privacy Policy.

 

Article 10 – Liability

10.1 Service Provider Liability

The Service Provider undertakes to perform services diligently and professionally but is not bound by an obligation of result.

The Service Provider cannot be held liable for non-performance due to force majeure, third-party actions, or Client fault.

Liability is limited to the amount paid by the Client for the services.

10.2 Client Liability

The Client agrees to actively cooperate and provide necessary information and materials for proper service execution.

For online training, the Client is responsible for managing and securing their login credentials.

 

Article 11 – Force Majeure

Neither party shall be held liable for failure to fulfill obligations due to force majeure, as defined by French case law.

The party invoking force majeure must inform the other party promptly and propose alternative solutions for contract execution.

 

Article 12 – Claims and Disputes

In case of a claim or dispute, the parties will seek an amicable resolution.

Failing that, any dispute regarding the interpretation or execution of these TCS shall fall under the exclusive jurisdiction of the courts of [your jurisdiction].

Article 13 – Governing Law

These TCS are governed by French law.
